Terms of Service

Effective date: September 6, 2026

These Terms of Service (the "Terms") are a binding agreement between SISNOVA LLC ("SISNOVA", "we", "us" or "our") and the individual or entity that registers for or uses the EasyLeads platform ("Client", "you" or "your"). They govern your access to and use of the EasyLeads platform, websites, dashboards, APIs and related services (together, the "Platform").

By creating an account, accepting these Terms, or accessing or using the Platform, you agree to these Terms. If you accept on behalf of a company or other entity, you represent that you have authority to bind it, and "you" refers to that entity. If you do not agree, do not use the Platform.

Please read Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification) and Section 18 (Governing Law; Dispute Resolution) carefully — they limit our liability, allocate risk to you, and affect how disputes are resolved.

1. Definitions

  • Platform — the EasyLeads software-as-a-service platform and all related websites, dashboards, APIs, integrations and documentation provided by SISNOVA.
  • AI Agent — an automated conversational assistant that you configure and deploy through the Platform to communicate with End Users.
  • End User — any person who interacts with your AI Agent or whose data you process through the Platform (for example, your customers, leads or contacts).
  • Client Content — everything you provide, upload, enter or configure in the Platform, including prompts, instructions, knowledge, business information, settings, contact lists and messages.
  • Configuration — the prompts, instructions, settings, connected accounts and other choices that determine how your AI Agent behaves.
  • Output — any response, message or other content generated by the AI features of the Platform.
  • Third-Party Services — services not operated by SISNOVA that the Platform connects to or depends on, including messaging channels (such as WhatsApp and the Meta platforms), telecommunications and messaging providers (such as Twilio), AI model providers (such as Anthropic and OpenAI), CRM systems and other integrations.

2. What EasyLeads Is — and Is Not

EasyLeads is a platform and integration layer. We provide software that connects several independent technologies — messaging channels, telecommunications providers, AI model providers and CRM systems — so that you can configure, deploy and manage AI Agents that talk to your End Users and capture leads.

We provide only the Platform. We do not provide the underlying messaging, telecommunications, AI models or CRM systems themselves; those are Third-Party Services that you obtain from, and that are operated by, their respective providers under their own terms. Our responsibility is limited to providing the integration and platform functionality we make available, and we support only that integration.

The Platform is provided as a standard product, "as is." You accept the Platform with its existing features, limitations and supported integrations, and your subscription is not conditioned on the delivery of any future feature, integration or customization.

3. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your credentials confidential and secure. Notify us promptly at compliance@sisnova.io of any unauthorized use.

You are responsible for the acts and omissions of your personnel, agents and anyone you allow to access the Platform through your account, as if they were your own.

4. Your Responsibilities

You are solely responsible for how you configure, operate and supervise your AI Agents and for your use of the Platform. In particular:

4.1 Configuration and supervision of your AI Agent

You create and control your AI Agent's Configuration — its prompts, instructions, knowledge and settings. Because you can view, review and change your AI Agent's Configuration and conversations at any time, you are responsible for reviewing your AI Agent's conversations and for ensuring it behaves correctly. You are responsible for everything your AI Agent says or does in interactions with End Users.

4.2 Third-party accounts and setup

You are responsible for obtaining, setting up, configuring, maintaining and paying for your own Third-Party Services (including your WhatsApp/Meta accounts, your Twilio account, phone numbers and CRM), and for connecting them to the Platform. We do not set up or configure anything outside of the Platform. We may, at our discretion, offer configuration assistance for an additional fee, to be agreed with each Client separately.

4.3 Compliance with third-party terms and law

You must comply with all terms, policies and acceptable-use rules of the Third-Party Services you use (including WhatsApp/Meta, telecommunications carriers and CRM providers), and with all laws that apply to your use of the Platform and your communications with End Users — including those governing messaging consent and opt-in/opt-out, marketing and advertising, consumer protection, and data protection and privacy. You are responsible for obtaining all consents and providing all notices required for your End User communications and data processing.

4.4 Client Content and sensitive information

You are responsible for your Client Content and for what you place into the Platform. Do not upload or configure information you do not want your AI Agent to be able to use or disclose to End Users — for example tax identifiers (such as an EIN), credentials, secrets, or other confidential or sensitive information. What you put into the Platform may be used by your AI Agent, and any exposure of information that results from your Client Content or Configuration is your responsibility (see Section 10).

5. AI Features and AI Output

The Platform uses artificial-intelligence models provided by third parties (such as Anthropic and OpenAI) to generate Output. AI technology is probabilistic and inherently imperfect: Output may be inaccurate, incomplete, outdated, misleading, offensive or otherwise inappropriate, and may not reflect correct or current information (a phenomenon often called "hallucination").

We make no warranty of any kind regarding Output, and you must not rely on Output without independent human review. You are responsible for evaluating the accuracy, appropriateness and legality of Output before relying on it or allowing it to be relied upon, and for monitoring your AI Agent's conversations.

As between you and SISNOVA, you are solely responsible for what your AI Agent communicates to End Users, and we are not responsible in any way for statements your AI Agent makes. This includes any Output that is inaccurate, that a person acts upon, or that recommends or describes any action. Because the AI models are operated by third-party providers and you control the Configuration, responsibility for your AI Agent's Output passes through to you and, where applicable, is a matter between you, your End Users and the relevant AI providers.

Your use of AI features must also comply with the applicable AI providers' usage policies. You must not use the Platform or AI features to generate unlawful content or to provide regulated professional advice (such as medical, legal or financial advice) unless you are authorized to do so and comply with all applicable requirements.

6. Third-Party Services, Messaging and Telecommunications

The Platform depends on Third-Party Services that we do not own or control. Their availability, behavior, policies and pricing are determined by the third parties, and your use of them is governed by their terms. We are not responsible for Third-Party Services or for any act, omission, change, suspension or discontinuation by a third party.

Without limiting the above, we are not responsible for any issue affecting WhatsApp, the Meta platforms, a telecommunications carrier, a messaging provider such as Twilio, or any phone number used with the Platform. This includes, for example: if WhatsApp or Meta blocks, restricts, suspends, deactivates or bans an account, number or message template; if Twilio or a carrier suspends, reclaims, ports away or removes a phone number; if a carrier or messaging platform blocks or filters messages; or if any government, law or regulation (including in the United States) prevents, restricts or disables a phone number or messaging service. Any such event is outside our control and is not a breach of these Terms by us.

You are responsible for all fees charged by Third-Party Services (such as messaging, telecommunications and AI usage fees), whether billed to you directly by the provider or passed through by us.

7. Supported Integrations; No Obligation to Integrate

The Platform supports a limited set of channels, integrations and CRM systems. We do not offer, and do not represent that we offer, integration with every platform or service that exists.

Whether to build, add, maintain or continue any integration is at our sole discretion and is not an obligation. If your CRM or other system is not supported, we are under no obligation to integrate it. You accept the Platform with its supported integrations as they exist from time to time, and you agree to use the Platform "as is," without any expectation of additional integrations, changes or customizations.

8. Fees, Subscriptions and Payment

Access to the Platform is provided on a paid subscription basis (typically monthly) at the fees presented to you when you subscribe. Unless stated otherwise, fees are in U.S. dollars, are exclusive of taxes, and are non-refundable except where required by law.

You pay separately for all AI usage and other consumption generated by your AI Agents and your use of the Platform, together with any Third-Party Service fees. You authorize us (or our payment processor) to charge your payment method for all applicable fees. We may change our fees on a prospective basis by notice or at renewal.

If any amount is overdue, we may suspend or limit your access until payment is made. You are responsible for any related collection costs.

9. Acceptable Use

You must not, and must not permit anyone to, use the Platform to:

  • violate any law or regulation, or infringe or misappropriate any third party's rights;
  • send unlawful, unsolicited or bulk messages (spam), or communicate with End Users without a lawful basis and any required consent;
  • transmit malware, or attempt to gain unauthorized access to, disrupt, overburden or impair the Platform or its infrastructure;
  • harass, threaten, defraud or harm any person, or generate or distribute unlawful, hateful, sexually exploitative or deceptive content;
  • violate the terms or policies of any Third-Party Service (including WhatsApp/Meta and carrier rules);
  • reverse engineer, decompile or attempt to derive the source code of the Platform, except to the extent this restriction is prohibited by law; or
  • resell, sublicense or provide the Platform to third parties except as expressly permitted by us in writing.

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or the law, or that creates risk or possible liability for us, you or others.

10. Data Protection and Security Responsibilities

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms. For personal data of your End Users that we process on your behalf, you act as the controller (or equivalent) and we act as your processor, processing such data on your documented instructions and as described in the Privacy Policy and Section 15 (Data Processing).

We implement reasonable technical and organizational measures designed to protect data. However, no system is completely secure, and we do not guarantee that data will never be lost, accessed or disclosed without authorization.

You are responsible for the security consequences of your Client Content and Configuration. We are not responsible for the exposure or disclosure of data that results from your Configuration, your instructions, your integrations, or your placing into the Platform information that should not be shared (for example an EIN, credentials or other sensitive business information that your AI Agent then discloses). As between the parties, responsibility for what you place into the Platform — and therefore what may be shared with End Users — is yours.

11. Disclaimers

THE PLATFORM, ALL OUTPUT, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, SISNOVA disclaims all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, timely, secure, error-free or free of harmful components, that it will meet your requirements, that it will be compatible with any Third-Party Service, or that Output will be accurate, reliable or fit for any purpose. We do not provide any uptime or service-level commitment except as separately agreed in writing.

We are not responsible for any loss or corruption of data, and you are responsible for maintaining your own backups of any data important to you. Anything you access through the Platform is accessed at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SISNOVA AND ITS OWNERS, MEMBERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITIES, arising out of or relating to these Terms or the Platform, even if advised of the possibility of such damages and regardless of the theory of liability.

SISNOVA's total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the total amount you actually paid to SISNOVA for the Platform in the twelve (12) months immediately preceding the event giving rise to the claim.

Without limiting the foregoing, SISNOVA has no liability for: your AI Agent's Output or conduct; any decision made or action taken by any person based on Output; any act, omission, outage, change, suspension, ban or discontinuation by any Third-Party Service (including WhatsApp/Meta, Twilio, carriers and AI providers); or any exposure of data resulting from your Client Content or Configuration.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

13. Indemnification

You will defend, indemnify and hold harmless SISNOVA and its owners, members, directors, employees and agents from and against any and all claims, demands, actions, investigations, damages, losses, liabilities, fines, penalties, costs and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

  • your use of the Platform and your AI Agents;
  • your Client Content, your Configuration, and any Output of your AI Agent, including anything your AI Agent communicates to any End User;
  • your interactions and communications with End Users, and any claim brought by an End User or other third party relating to your AI Agent or your use of the Platform;
  • your violation of these Terms, of any law or regulation, or of the terms or policies of any Third-Party Service; and
  • any exposure or disclosure of data resulting from your Client Content or Configuration.

Illustration. If your AI Agent tells a person to take an action, that action turns out to be unlawful or harmful, and that person (or anyone else) brings a claim or lawsuit as a result, that matter is your responsibility: you are responsible for resolving it and for all associated costs, including attorneys' fees, and SISNOVA is not liable — because you control and can review your AI Agent's Configuration and conversations. This illustration does not limit the general indemnity above.

We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us. You will not settle any matter in a way that imposes any obligation or liability on SISNOVA without our prior written consent.

14. Intellectual Property

As between the parties, SISNOVA owns all rights in the Platform, including all software, technology and documentation, and all related intellectual-property rights. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during the term, solely for your internal business purposes and subject to these Terms.

You retain all rights in your Client Content. You grant SISNOVA a worldwide, non-exclusive license to host, process, transmit, display and otherwise use your Client Content as necessary to provide and improve the Platform and to comply with law. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

15. Data Processing

This Section applies where SISNOVA processes personal data on your behalf as your processor. You are the controller and instruct us to process such data to provide the Platform. We will: (a) process personal data only on your documented instructions and as needed to provide the Platform and comply with law; (b) require our personnel to keep it confidential; (c) maintain reasonable technical and organizational security measures; and (d) on termination, delete or return personal data as described in the Privacy Policy, subject to legal retention.

You authorize SISNOVA to engage the sub-processors identified in the Privacy Policy (including AI model providers, messaging and telecommunications providers, email providers, CRM integrations and hosting providers), which may change from time to time. We remain responsible for our sub-processors' data-processing obligations to the extent required by applicable law. Where required, international transfers rely on an appropriate transfer mechanism. We will provide reasonable assistance with data-subject requests and security-incident notifications as required by applicable data-protection law. A separate data-processing addendum is available on request at compliance@sisnova.io.

16. Term, Suspension and Termination

These Terms apply for as long as you use the Platform or have an account. You may terminate by canceling your subscription and ceasing use. We may suspend or terminate your access, in whole or in part, at any time if: you breach these Terms; you fail to pay; your use creates risk or possible liability, or violates law or a Third-Party Service's terms; a Third-Party Service requires it; or we discontinue the Platform.

On termination, your right to use the Platform ends and we may delete your Client Content after a reasonable period, subject to legal retention. Sections that by their nature should survive (including Definitions and Sections 4, 5, 6, 10, 11, 12, 13, 14, 15, 18 and 19) survive termination.

17. Changes to the Platform and to These Terms

We may modify, add or remove features of the Platform at any time. We may also update these Terms; when we do, we will revise the effective date above and, where appropriate, provide notice. Changes are effective when posted (or on any later stated date). Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

18. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and, where applicable, by the laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties will first try to resolve any dispute informally. If a dispute is not resolved within thirty (30) days of notice, the state and federal courts located in Houston, Harris County, Texas will have exclusive jurisdiction and venue, and each party consents to personal jurisdiction there — except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

[Optional — confirm with counsel:] Any dispute not resolved informally will be settled by binding arbitration administered in Houston, Texas under the rules of a recognized arbitration body, on an individual basis. To the extent permitted by law, you and SISNOVA waive any right to a jury trial and to participate in a class or representative action. To the extent any dispute is not subject to arbitration, the venue provision above applies.

Any claim arising out of or relating to these Terms or the Platform must be brought within one (1) year after it arises, to the extent permitted by law.

19. General

These Terms (with the Privacy Policy and any order or plan you accept) are the entire agreement between the parties regarding the Platform and supersede any prior agreements on that subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. There are no third-party beneficiaries. The parties are independent contractors. We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure), including Third-Party Service outages, acts of government, and network or infrastructure failures.

You must comply with all applicable export-control and sanctions laws and must not use the Platform if you are barred from doing so under U.S. law. Notices to you may be given through the Platform or by email; notices to us must be sent to compliance@sisnova.io.
